Board of Directors
5–12 elected members governing the organization
Chairperson
Leads the Board, presides over meetings, and represents the organization in official capacities
Secretary
Maintains records, correspondence, and ensures compliance with constitutional requirements
Treasurer
Oversees financial management, budgets, and ensures accurate financial reporting and audits
Board Powers
- Oversee all programs and organizational activities
- Approve annual budgets and financial reports
- Hire staff and supervise daily operations
- Approve fundraising initiatives and partnerships
Tenure & Terms
- Term Length: 2 years per term
- Re-election: Up to 3 consecutive terms allowed
- Selection: Elected by members at Annual General Meeting
- Rotation: Ensures fresh perspectives and continuity

Amendment of Constitution
Our constitution is a living document, subject to democratic review and amendment by our members
Amendment Requirements
Constitutional safeguard: Amendments require a two-thirds majority vote at an Annual General Meeting (AGM) or Special General Meeting, with at least 14 days' written notice provided to all members prior to the meeting.

Membership Procedures

Roles & Responsibilities

Meetings
- IAGM and Board meetings require at least 7 days' notice
- IIAgenda items submitted 3 days prior to meeting
- IIIProxy voting allowed if authorized in writing
Fundraising & Donations
- IFundraising initiatives require Board approval
- IIReceipts issued for all donations received
- IIIFunds used solely for NGO objectives
Conflict Resolution
- IComplaints submitted to the Board in writing
- IIBoard decisions are final unless challenged at an AGM
- IIIDisputes among members handled per Board-approved procedures
